1. Acceptance of Terms

By accessing or using the services provided by Shadow Lancers Private Limited ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Shadow Lancers provides software development services including but not limited to:

• Custom software development
• Mobile application development
• Web application development
• Cloud solutions and infrastructure
• AI and machine learning solutions
• UI/UX design services
• DevOps and automation
• Staff augmentation and IT consulting

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information regarding your project requirements
• Respond to communications and provide feedback in a timely manner
• Make payments according to agreed-upon terms
• Provide necessary access, credentials, and resources required for project completion
• Review and approve deliverables within agreed timeframes
• Comply with all applicable laws and regulations

4. Project Agreements

Each project will be governed by a separate project agreement or statement of work that outlines specific deliverables, timelines, pricing, and terms. In case of any conflict between these Terms and a specific project agreement, the project agreement shall prevail.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, clients will own the intellectual property rights to the custom deliverables created specifically for their project, unless otherwise specified in the project agreement.

5.2 Company Ownership

We retain ownership of our pre-existing tools, frameworks, methodologies, and general knowledge. We may also retain the right to use project learnings for internal improvement purposes.

6. Payment Terms

• Payment terms will be specified in individual project agreements
• Invoices are due upon receipt unless otherwise agreed
• Late payments may incur additional charges
• We reserve the right to suspend work on projects with outstanding payments
• All fees are non-refundable unless otherwise specified

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes business strategies, technical specifications, customer data, and any other sensitive information.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADOW LANCERS PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

10. Termination

Either party may terminate the engagement with written notice as specified in the project agreement. Upon termination, client shall pay for all services rendered up to the termination date.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Islamabad, Pakistan.

12. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of the modified Terms.
